Introduction
Welcome to Aiingo ("we," "our," or "us"), a brand of Dakaa Istinai Technology, operating under DED E-Trader License No. 1479044 (Dubai, UAE), and affiliated with Onshope Commercials (Udyam Reg. UDYAM-KL-09-0028183, Kerala, India).
These Terms and Conditions govern your use of our AI automation services, WhatsApp Business API services, SaaS platform (Leadvyne), website, and all related offerings (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
Services Overview
Aiingo provides AI-powered automation solutions including but not limited to:
- WhatsApp Business API automation, AI chatbots, and bulk messaging campaigns
- Leadvyne — WhatsApp CRM and AI automation SaaS platform
- Custom AI bot development and implementation
- Business process automation via n8n workflows
- CRM integration and lead management systems
- AI-driven data analytics and reporting
- Social media and marketing automation
- Related consulting and support services
Services are delivered across UAE, GCC, and India markets. Specific deliverables, timelines, and scope are defined in individual service agreements or subscription plans.
WhatsApp & Messaging Services
Aiingo provides WhatsApp Business API services through Meta's official Cloud API. When using these services, the following terms apply:
3.1 Platform Dependency
WhatsApp messaging services are delivered through Meta Platforms, Inc. infrastructure. Service availability, feature changes, and policy updates are subject to Meta's WhatsApp Business Platform terms. Aiingo is not liable for changes, outages, or policy enforcement actions made by Meta.
3.2 Message Templates
Template messages must be submitted to and approved by Meta before use. Aiingo will assist with template creation and submission, but approval decisions are made solely by Meta. Rejected templates do not entitle the client to a refund.
3.3 Conversation-Based Pricing
Meta charges per-conversation fees for WhatsApp Business API usage. These fees are separate from Aiingo's service fees and are the sole responsibility of the client unless explicitly bundled in a service plan. Clients are advised to review Meta's current conversation pricing at business.whatsapp.com.
3.4 Data Routing
All WhatsApp messages sent or received through our services are routed via Meta's infrastructure. By using our WhatsApp services, you acknowledge that message data transits through Meta's systems and is subject to Meta's Privacy Policy in addition to ours.
Acceptable Use Policy
By using Aiingo's services, you agree to comply with Meta's WhatsApp Business Policy and Messaging Guidelines. The following uses are strictly prohibited:
- Sending unsolicited bulk messages (spam) to users who have not opted in
- Sending messages to purchased, scraped, or third-party contact lists without explicit prior consent
- Promoting illegal products, services, or activities
- Sending content that violates Meta's Commerce Policy or any applicable law
- Using the service to harass, threaten, or deceive end users
- Attempting to circumvent Meta's message quality rating systems
- Impersonating another business or individual
- Sending content related to alcohol, tobacco, gambling, adult content, or pharmaceuticals where prohibited by Meta or applicable law
Account Registration
To access certain Services, you may need to register an account or provide WhatsApp Business API credentials. You agree to:
- Provide accurate, complete, and up-to-date business information
- Maintain the security of your API credentials, access tokens, and dashboard passwords
- Be responsible for all activities conducted under your account
- Notify us immediately at info@aiingo.com of any unauthorized access or security breach
- Ensure your Meta Business Manager and WABA details remain valid and verified
Payment Terms
6.1 Fees
Our fees are as specified in your service agreement or selected subscription plan. Prices are exclusive of applicable taxes (VAT in UAE; GST in India where applicable). Meta's per-conversation charges and any third-party platform fees are additional unless explicitly stated as included.
6.2 Billing Cycle
Recurring SaaS subscriptions are billed monthly or annually in advance. One-time setup and custom development projects require 50% deposit before commencement, with the balance due upon delivery.
6.3 Payment Gateways
We process payments through secure, PCI-compliant gateways based on client location:
Stripe
- Accepted: Visa, Mastercard, Amex
- Currency: AED, USD
- Recurring billing supported
- Secure checkout via Stripe.com
- Receipts issued in AED
India Payment Gateway
- Accepted: UPI, Cards, Net Banking, Wallets
- Currency: INR
- Recurring billing supported
- RBI-regulated, PCI DSS compliant
- Receipts issued in INR
All payment data is processed directly by the respective gateway. Aiingo does not store card numbers or banking credentials on our servers.
6.4 Late Payments
Unpaid invoices beyond 7 days of the due date may result in service suspension. Reactivation requires full payment of outstanding balance. Aiingo is not liable for business impact caused by suspension due to non-payment.
6.5 Refunds
Due to the custom and labour-intensive nature of our services, all payments are non-refundable unless otherwise specified in a written service agreement. Setup fees are non-refundable under all circumstances. Subscription fees paid in advance are non-refundable upon early cancellation.
Intellectual Property
All intellectual property rights in our Services — including but not limited to the Leadvyne platform, n8n workflows developed by Aiingo, AI prompt architectures, software, algorithms, and documentation — remain the exclusive property of Aiingo / Dakaa Istinai Technology.
Clients receive a limited, non-exclusive, non-transferable licence to use the deliverables solely for their own business operations as specified in the service agreement. Custom workflows, bots, or integrations developed specifically for a client may be assigned to the client upon full payment, subject to written agreement.
Clients retain full ownership of their own business data, contact lists, and content submitted to our platform.
Data Protection
We process personal data in accordance with our Privacy Policy, the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021), and India's Digital Personal Data Protection Act 2023 (DPDPA), as applicable. By using our Services, you consent to such processing.
Clients who use our WhatsApp automation services are acting as data controllers for their end-customers' data. Aiingo acts as a data processor in this context. Clients are responsible for obtaining lawful consent from their end-users for receiving WhatsApp messages.
Client WABA Responsibility
Each client's WhatsApp Business Account (WABA) is registered under the client's own Meta Business Portfolio. The client is the account holder of record with Meta. Accordingly:
- Clients are solely responsible for compliance with Meta's WhatsApp Business Policy, Commerce Policy, and all applicable messaging laws in their operating jurisdiction
- Clients are responsible for maintaining their Meta Business verification status
- Any action by Meta — including but not limited to account suspension, WABA ban, template rejection, or phone number quality rating reduction — is outside Aiingo's control and does not entitle the client to a service credit or refund
- Clients must notify Aiingo immediately of any Meta enforcement action affecting their WABA
- Clients must not share their WhatsApp API credentials with unauthorised third parties
Limitation of Liability
To the maximum extent permitted by applicable law, Aiingo, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of revenue, profits, or business opportunities
- WhatsApp account bans or messaging restrictions imposed by Meta
- Data loss arising from third-party platform outages
- Delayed or failed message delivery
- Interruption of automated workflows due to API changes by Meta or other platforms
Our total aggregate liability to any client for any claim arising from these Terms or the Services shall not exceed the total fees paid by that client in the three (3) calendar months preceding the claim.
Termination
Either party may terminate a service agreement as specified therein, typically with 30 days written notice for recurring subscriptions.
Aiingo may suspend or terminate your access to Services immediately and without notice for:
- Material breach of these Terms, including Acceptable Use Policy violations
- Non-payment of fees beyond 14 days overdue
- Any action that exposes Aiingo to legal, regulatory, or reputational risk
- Meta's requirement to terminate the relationship due to policy violations by the client
Upon termination, client data stored on Aiingo's systems will be retained for 30 days, after which it will be permanently deleted unless an export was requested in writing prior to termination.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the Dubai courts.
For clients contracting with Onshope Commercials (India), these Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Malappuram, Kerala.
Changes to Terms
We may modify these Terms at any time. When material changes are made, we will update the "Last Updated" date at the top of this page and, where practicable, notify active clients by email.
Continued use of Services after the revised Terms are posted constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of the Services.
